Welcome to InboxWA ("Company," "we," "our," or "us"). These Vendor Terms & Conditions govern your access and participation as a vendor, reseller, partner, or service provider ("Vendor," "Partner," "You") using our platform and services including WhatsApp Business API, CRM, chatbot builder, automation tools, and related offerings (collectively, the "Services").
By registering or engaging as a Vendor with InboxWA, you agree to these Terms.
1. Eligibility
You must be at least 18 years old
You must have legal authority to enter into agreements on behalf of your business
You must comply with WhatsApp (Meta) policies and all applicable laws
2. Vendor Services & Role
InboxWA enables Vendors to:
Resell WhatsApp API and related services
Onboard and manage clients
Use CRM, automation, and campaign tools
Provide support and services to their customers
InboxWA reserves the right to modify or discontinue vendor features at any time.
3. Vendor Responsibilities
As a Vendor, you agree to:
Provide accurate business and KYC details
Ensure your customers comply with WhatsApp and legal policies
Obtain proper consent before messaging end-users
Handle customer onboarding, communication, and support responsibly
Not misrepresent InboxWA services or brand
4. Account & Security
You are responsible for maintaining your account credentials
All activities under your account are your responsibility
InboxWA is not liable for unauthorized access due to your negligence
5. Acceptable Use Policy
You agree NOT to:
Send spam, bulk unsolicited messages, or illegal content
Violate Meta/WhatsApp policies
Use the platform for fraudulent or abusive purposes
Attempt unauthorized access or system misuse
Violation may result in immediate suspension or termination without notice or refund.
6. Pricing, Billing & Payments
Vendor pricing, margins, and commissions are defined by InboxWA
All payments must be made in advance unless agreed otherwise
Minimum recharge or usage commitments may apply
Add-ons and services are billed separately
Refund Policy:
All payments are non-refundable once processed unless required by law.
7. WhatsApp Verification & GreenTick
InboxWA may assist Vendors with client verification processes
Approval is solely controlled by Meta
No guarantee of approval is provided
Fees are non-refundable once submitted
8. Data & Privacy
Vendors must ensure lawful collection and usage of customer data
You are responsible for obtaining consent from your clients and their users
InboxWA may process data to deliver Services as per Privacy Policy
9. Intellectual Property
All platform technology, branding, and materials belong to InboxWA
Vendors may not copy, modify, or distribute platform assets without permission
Limited rights are granted only for service usage and resale
10. Third-Party Integrations
Services may integrate with Meta, Shopify, WooCommerce, etc.
InboxWA is not responsible for third-party outages or policy changes
Vendors must comply with third-party terms
11. Service Availability
We aim for high uptime but do not guarantee uninterrupted service
Downtime may occur due to maintenance or external factors
InboxWA is not liable for losses due to service interruptions
12. Limitation of Liability
To the maximum extent permitted by law:
InboxWA is not liable for indirect or consequential damages
Liability is limited to the amount paid by the Vendor in the last 12 months
We are not responsible for:
Vendor business losses
Client misuse or policy violations
WhatsApp approval delays or rejection
13. Indemnification
You agree to indemnify and hold harmless InboxWA from any claims arising from:
Your clientsโ actions or misuse
Violation of laws or policies
Breach of these Terms
14. Termination
InboxWA may suspend or terminate Vendor accounts at any time for violations
Vendors may terminate their account by contacting support
Data may be deleted after termination as per legal obligations
15. Governing Law & Jurisdiction
These Terms are governed by the laws of India
Disputes shall be subject to courts in Bengaluru, Karnataka
Arbitration may be required before legal proceedings
16. Changes to Terms
We may update these Terms at any time. Continued participation as a Vendor constitutes acceptance of updated Terms.
